TERMS AND CONDITIONS (SERVICE AGREEMENT)

These Terms and Conditions (“Agreement”) govern all client engagements for services provided by Sj Info Dot (“Service Provider,” “we,” “us”), including but not limited to WordPress Website Design, Digital Marketing, and consulting services. These terms form a binding contract between Sj Info Dot and the Client (the party engaging the services).

1. Scope of Work

1.1 Project Specification: The specific details of the services to be rendered, deliverables, timelines, and pricing shall be explicitly defined in a separate Statement of Work (SOW), project proposal, or written contract, which shall be incorporated into this Agreement by reference.

1.2 Changes and Revisions: Any changes or additions to the agreed-upon SOW after project commencement must be submitted by the Client in writing. We reserve the right to revise the timeline and pricing for any such scope changes (a “Change Order”). Work on the Change Order will only commence upon mutual written agreement.

2. Fees, Payment, and Refunds

2.1 Payment Schedule: The Client agrees to pay the fees specified in the SOW according to the agreed-upon schedule (e.g., a non-refundable deposit/retainer upon signing, milestone payments, or monthly fees).

2.2 Late Payments: Invoices are due upon receipt or as specified in the invoice. If any invoice remains unpaid after [e.g., 7 days], Sj Info Dot reserves the right to suspend work on the project or service without liability until payment is received in full.

2.3 Refunds: Unless otherwise stated in the SOW, fees paid are generally non-refundable once work has commenced, as they cover time and resources already allocated. Digital Marketing service retainers may be subject to a specific cancellation notice period outlined in the SOW.

3. Client Responsibilities

3.1 Necessary Materials: The Client must provide all required content (text, images, branding materials, access credentials) in a timely manner. Delays in providing materials will result in corresponding project timeline extensions.

3.2 Approval and Feedback: The Client must provide prompt feedback and sign-offs at designated project milestones. Delays in approvals exceeding [e.g., 5 business days] may result in project suspension or delays.

4. Intellectual Property (IP) and Ownership

4.1 Pre-existing IP: Any materials, tools, or code owned by Sj Info Dot prior to or developed independently of the project (e.g., internal WordPress themes, proprietary marketing systems) remain the exclusive property of Sj Info Dot. We grant the Client a non-exclusive, perpetual license to use such IP solely as necessary for the operation of the delivered website or service.

4.2 Final Work Product IP: Upon completion of the project and receipt of full and final payment, copyright and ownership of the unique visual design, Client-provided content, and final marketing strategy documents shall transfer to the Client.

4.3 Portfolio Rights: The Client grants Sj Info Dot a perpetual, non-exclusive, non-transferable, royalty-free license to display the completed website design and details of the digital marketing work in our portfolio and marketing materials.

5. Termination

5.1 Termination by Either Party: Either party may terminate this Agreement if the other party materially breaches any of its obligations and fails to remedy the breach within [e.g., 14 days] of receiving written notice.

5.2 Payment upon Termination: If the Client terminates the Agreement for convenience, the Client agrees to pay for all work completed up to the date of termination, based on the hourly rate or percentage of project completion, plus any non-cancellable third-party costs incurred.

6. Digital Marketing Service Specifics

6.1 No Guarantee: The Client acknowledges that Sj Info Dot cannot guarantee specific results, rankings (SEO), or conversion rates from any Digital Marketing service. We will use industry best practices, but performance is subject to external factors (search engine algorithms, market competition, consumer behavior) beyond our control.

6.2 Third-Party Costs: The Client is responsible for any third-party costs, such as PPC ad spend, platform subscription fees, or stock image licensing, unless explicitly covered within the SOW.

7. Governing Law and Dispute Resolution

7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

7.2 Dispute Resolution: Any dispute arising out of or related to this Agreement or services provided will be subject to the exclusive jurisdiction of the courts located in Chennai.
